Interim Member’s Meeting - Wednesday, 19 October 2022 at 7.00pm

Thank you to those Members who joined us at the Interim Members’ Meeting on Wednesday 19 October 2022. The meeting was a hybrid event, broadcast live online from the National Memorial Arboretum, Burton-on-Trent, as well as being hosted at two satellite locations, The Huntsman in Holmfirth and John Innes Centre in Norwich.

Voting results

All resolutions were passed. Below is a breakdown of the voting results:

1. To reappoint Marc Bicknell as an Independent Non-Executive Director (INED). The resolution was passed: 94.79% in favour, 5.21% against.

2. To approve a Member Dividend of 1 penny per point for purchases made in the first half of the financial year - which covered the period between 23 January and 6 August 2022. The resolution was passed: 99.04% in favour, 0.96% against.

3. To set aside funding for political purposes in furtherance of Co-operative Values and Principles amounting to 0.6% of trading profit (to not exceed £120,000 per annum) for each of the next three financial years ending January 2024, January 2025, and January 2026. The resolution was passed: 84.70% in favour, 15.30% against.

4. To maintain: Directors’ base Board Director fee levels; Board Committee fee levels; sundry fees for ad hoc administrative duties; and, attendance allowances at current levels and to apply future increases in line with the annual SATA (Supervisory, Administrative and Technical Association) management grades, effective from the beginning of each financial year. The resolution was passed: 87.77% in favour, 12.23%.
